In plain English

A summary, so you know what you are signing up for without reading the whole thing. It is not the agreement. The Official Rules below are, and where the two disagree, the rules win.

What it is. Share your Unedo referral code with your adult students. When they subscribe to Passport, you collect raffle tickets. On January 12 we draw one ticket at random and that person gets a new pair of Bose QuietComfort headphones.

Who it is for. Approved Unedo teachers, 18 or over, living in the US, teaching Spanish to adults: tutors, private teachers, language school staff. The Teacher Passport is free. If you already have one, you are already in.

Getting your code. From September 15 it appears in the Account section of the app, under Referral program. Tap Generate. It only shows up for approved teachers, and it does not exist for anyone before September 15, so nobody starts ahead.

How tickets work.

• Yearly Passport: 10 tickets
• Monthly Passport: 1 ticket per payment, so a student who joins in September is worth three by December
• Free entry: 1 ticket, one email, no referral needed
• Every ticket has the same chance of winning, however you got it
• Cap of 250 tickets per person

A ticket only counts once the student subscription clears. The yearly plan has a 7-day trial, so nothing counts until the first real payment lands, and then we wait fourteen days to be sure it is not refunded. Your count in the app will move around as that happens. It is our records at the cut-off that decide.

An example. You refer four students in the autumn:

Why the drawing is in January. The raffle closes December 15, but Dani's payment above does not land until December 22, and then it needs its fourteen days. Drawing in December would mean not counting anyone who referred a student in the final fortnight.

Important: Do not share your code with under-18s, and tell us if you find out one used it

Say you might win something. When you share your code publicly, add a line like "I'm entered in a prize draw when people use my code." The FTC requires it, and your students deserve to know.

Check your employer's rules. Schools and academies often restrict what staff can accept from a company whose product they recommend. That one is on you, not us.

If you win. We email you, you have seven days to reply, we verify you are over 18, and the headphones ship. Taxes on it are yours.

We can change or stop this. Dates, ticket values, the prize, any of it, at our discretion. The current version always lives at unedo.com/teachers-referral-contest-terms.

Official Rules

1. Sponsor

The Unedo Educator Referral Raffle (the "Raffle") is offered by Unedo Editions & Studio, Inc., a California corporation, 2108 N St, #12203, Sacramento, California 95816 ("Unedo," "we," "us"). We are the sole sponsor and administrator. Contact: hola@unedo.com.

The Raffle is not sponsored, endorsed, administered by, or associated with Apple Inc., Google LLC, Meta Platforms, Inc., or any device manufacturer, retailer, school, university, or language school.

2. Dates

A Qualifying Event must fall inside the Program Period. A ticket is not Validated until the payment behind it has cleared and held for fourteen days (Section 5), which is why the Validation Cut-off falls after the Program Period closes.

Our systems clock is the official timekeeper. We may change any date in this table at our sole discretion under Section 10; the dates published at https://unedo.com/teachers-referral-contest-terms govern.

3. Eligibility

3.1 Requirements

To take part you must, at the time of each Qualifying Event and continuously through the drawing:

a. Be at least 18 years old. We verify age before awarding the prize (Section 8.4).

b. Be a legal resident of one of the 50 United States or the District of Columbia.

c. Hold an approved Unedo Teacher Passport in good standing (Section 3.2).

d. Be genuinely teaching Spanish to adult learners, as an independent tutor or private teacher of adults; as an instructor, coordinator, or administrator at a language school, academy, or adult language program; or as an instructor on a university, adult education, continuing education, or corporate Spanish programme whose learners are adults.

e. Have accepted these rules, the Unedo Terms of Service, and the Unedo Privacy Policy.

Not eligible: employees, officers, directors, and contractors of Unedo, and their immediate family members (spouse, domestic partner, parent, child, sibling, and their respective spouses) and household members; anyone whose Unedo account is suspended; anyone previously removed from a Unedo referral or ambassador program; and anyone taking part on behalf of another person.

One account, one participant. Multiple accounts controlled by the same person, household, or organization will be consolidated at our discretion or disqualified. Where several teachers at one institution take part, each holds their own Teacher Passport, their own tickets, and their own responsibility for compliance.

3.2 Teacher Passport

The Raffle is open only to holders of an approved Unedo Teacher Passport. It is not open to Unedo users generally, and a standard Passport subscription does not qualify. The Teacher Passport is free; nothing in this Raffle requires payment to Unedo at any point.

Applications have been open since February 2026 and remain open throughout the Program Period.

Approval is at our discretion. We may decline or revoke a Teacher Passport where we cannot verify that the applicant is genuinely teaching Spanish to adult learners. Your Teacher Passport must remain active and in good standing from your first Qualifying Event through the drawing; if it lapses, is suspended, or is revoked, your tickets are cancelled.

3.3 Adult learners only

The Raffle is limited to educators teaching adults. Unedo's current content is built for adult learners and is not aligned to a primary or secondary curriculum.

a. Each time you share your Code, you represent that the recipients are 18 or older, so far as you are aware. We do not require you to inspect identity documents.

b. If you learn that a person under 18 has used your Code, you must notify us at hola@unedo.com. Tickets cancelled following such a notification are not treated as a breach under Section 6. Concealing it is.

c. The Raffle does not extend to referrals made in the course of teaching a primary or secondary school class. A K-12 teacher who also tutors adults privately may take part in that second capacity only.

3.4 Your employer's rules

By taking part, you represent and warrant that your participation, and your acceptance of the prize, complies with every policy, code of conduct, ethics rule, contract, collective agreement, and law applicable to you as an educator or employee, including your institution's gift, endorsement, conflict-of-interest, and student-solicitation policies. We do not verify these. If your participation was not permitted, we may disqualify you and require the return of the prize or its value, and neither party will have any further claim against the other on that basis.

4. How to take part

4.1 Your Code

The referral feature goes live on September 15, 2026. Before that date no referral code exists for anyone and no referral can have been made.

From that date, your unique referral code (your "Code") appears in the Account section of the app under Referral program, provided your Teacher Passport is approved. One Code per account, personal to you. A Code cannot be issued, backdated, or reconstructed for any earlier period.

Attribution is by Code only. There is no manual attribution and no name-based credit. If a Referred Subscriber does not enter your Code before subscribing, no ticket arises and none can be created afterwards.

4.2 Sharing it

You may share your Code with your adult students and clients by any means permitted by Sections 3.3, 3.4, and 6. In doing so:

a. Disclose that you may benefit. You must make clear that you may receive a benefit if people use your Code, as required by the U.S. Federal Trade Commission's Endorsement Guides. A statement such as "I'm entered in a prize draw when people use my code" satisfies this.

b. Do not require it. You may not make use of your Code a condition of anything you provide, including a class, a place on a course, materials, attention, or access.

c. Do not fund it. You may not pay for, reimburse, or subsidize another person's Unedo subscription in order to generate tickets.

d. No fee applies. You are not required to hold a paid Passport subscription or to purchase anything, and purchases you make yourself do not affect your odds.

4.3 Free entry

You are not required to refer anyone.

For one (1) free ticket, email hola@unedo.com from the address on your Teacher Passport account, subject line "Free Entry," stating your full name, mailing address, date of birth, and educator role, to arrive by 11:59:59 p.m. PT on December 15, 2026. Limit one free ticket per person for the Program Period. Free tickets are Validated on receipt subject to eligibility under Section 3.

A free ticket carries the same weight in the drawing as any referral ticket. Every ticket has an identical chance of being drawn.

5. Tickets

A person who redeems your Code and subscribes is a "Referred Subscriber." A "Qualifying Event" is any of the following occurring inside the Program Period:

Validation. A ticket exists only once Validated. A referral ticket is Validated when all of the following are true:

1. Your Teacher Passport was approved and active at the time of the Qualifying Event.
2. The Referred Subscriber entered your Code during checkout or onboarding, before subscribing.
3. The subscription is new and began with your Code during the Program Period. Reactivations, plan switches, upgrades, downgrades, resubscriptions, and transfers from any existing or previously existing Unedo subscription do not qualify.
4. The Referred Subscriber is an adult learner, as represented under Section 3.3. We do not independently verify each subscriber's age. Where we learn a Referred Subscriber is under 18, the tickets concerned are cancelled and we act on the account as our Privacy Policy and applicable law require.
5. A payment behind that Qualifying Event has cleared. For the annual plan, the 7-day trial has ended and the first annual charge has been collected; a trial alone earns nothing. For the monthly plan, each ticket requires its own cleared payment.
6. That payment has survived fourteen (14) days with no cancellation before charge, refund, reversal, chargeback, or billing dispute.
7. The Referred Subscriber is a distinct real person, not you, not a member of your household, and not an account you control, created, funded, or operate.

Free tickets under Section 4.3 are subject to condition 1 only.

Cancellation. If a payment behind a Validated ticket is refunded, reversed, charged back, or found fraudulent at any time before the drawing, that ticket is cancelled, including after the fourteen days have passed. Apple and Google issue refunds on their own timelines.

Provisional counts. The ticket count shown in the app is our current view, not a promise, and will continue to change between December 15 and early January. The count that decides the Raffle is the number of Validated tickets in our records at the Validation Cut-off, and our records govern over the app display. Disputes about your count must reach hola@unedo.com by 11:59:59 p.m. PT on January 8, 2027.

Cap. No participant may hold more than 250 Validated tickets. Tickets beyond the cap are not earned and do not carry over.

Subscriber contracts. A Referred Subscriber's subscription is a contract between that person and Unedo, or for in-app purchases between that person and Apple or Google, on Unedo's standard terms. You make no representations on our behalf, and any statement you make beyond our published materials is yours alone.

6. Disqualification

We may disqualify a participant, cancel tickets, and revoke the Teacher Passport for any of the following:

• creating, buying, renting, or coordinating fake, duplicate, bot, or incentivized accounts;
• paying for, subsidizing, or reimbursing a Referred Subscriber's subscription in cash, credit, discount, or kind;
• knowingly sharing a Code with a person under 18, presenting Unedo to a primary or secondary school class in order to earn tickets, or concealing a minor's use of a Code once aware of it;
• posting a Code to coupon sites, deal forums, cashback sites, discount aggregators, or code-swap threads;
• bulk or unsolicited distribution, including spam email, mass direct messages, comment spam, and SMS blasts, or any distribution breaching the CAN-SPAM Act, the Telephone Consumer Protection Act, or equivalent law;
• paid advertising on Unedo's brand terms, or any ad, page, domain, or account impersonating Unedo or implying authority to speak for us;
• misdescribing the product, the price, or this Raffle;
• applying for a Teacher Passport on false information;
• interfering with the Raffle, our systems, or another participant's tickets, including by scripting, scraping, or exploiting a defect, in which case we reserve all civil and criminal remedies;
• serious or repeated breach of these rules, the Unedo Terms of Service, or Section 3.4.

We investigate using our own records. Our determination of whether a ticket is Validated or a participant disqualified is final and binding, and we are not obliged to disclose our fraud detection methods.

7. Prize

One (1) Grand Prize: one pair of Bose QuietComfort Acoustic Noise Cancelling Headphones (Sandstone), approximate retail value $359 USD, in the colour and configuration available to us at the time of award. Total ARV of all prizes: $359 USD.

Actual value may differ from the stated ARV and no difference will be paid. The prize is awarded as is, with no warranty from Unedo. Any manufacturer warranty passes to the winner, and warranty claims lie against the manufacturer.

Substitution. If the stated model becomes unavailable, discontinued, or unreasonably difficult to source, we may substitute comparable headphones or a device of equal or greater ARV, at our sole discretion, or offer a cash equivalent where law, a winner's employer policy, or practicality makes the device inappropriate.

Not transferable. The prize may not be transferred, assigned, exchanged, sold, or auctioned before receipt, and the winner may not designate another recipient.

Excluded. Shipping to a valid U.S. street address is included. Software, subscriptions, accessories, BoseCare or other protection plans, insurance, and setup are not.

8. Drawing and claiming

8.1 Drawing. On or about January 12, 2027 we will select one (1) potential winner in a random drawing from all Validated tickets held by all eligible participants at the Validation Cut-off, conducted by Unedo or a party we appoint. The result is final. Odds depend on the total number of Validated tickets in the drawing and cannot be stated in advance.

8.2 Notification. We will notify the potential winner within five (5) business days of the drawing at the email address on their Unedo account, and may also notify them in the app. The potential winner must respond within seven (7) calendar days of the date the notice is sent.

8.3 Documents. Within ten (10) calendar days of our request, the potential winner must return a signed Affidavit of Eligibility, Liability Release, and (where legally permitted) Publicity Release, a completed IRS Form W-9 or equivalent taxpayer information, and a valid U.S. street shipping address (no P.O. boxes).

8.4 Verification. Before awarding the prize we verify that the potential winner was 18 or older throughout the Program Period, and may require government-issued photo identification showing date of birth, from which everything except name, photograph, and date of birth may be redacted. We may also verify residency and the authenticity of the Teacher Passport and the referral activity behind it. Identification is used solely to confirm eligibility and is deleted once the prize is awarded or forfeited.

8.5 Forfeiture. The prize is forfeited if the potential winner fails to respond in time, cannot be reached, declines, is found ineligible, cannot verify age under 8.4, provides false information, fails to return documents in time, or if notification is returned undeliverable. We may then select an alternate from the remaining Validated tickets, or not award the prize. At most two (2) alternate selections will be made before the prize goes unawarded.

8.6 Delivery. Allow up to thirty (30) days from verification. One prize per person and per household.

8.7 Taxes. All federal, state, and local taxes on the prize, and any other cost of accepting it, are the winner's sole responsibility, and the prize is generally taxable income. We will report the prize and issue an IRS Form 1099-MISC where required by law, may withhold where withholding is required, and may withhold award of the prize until we hold the tax information needed to do so lawfully. We do not provide tax advice.

8.8 Publicity. Except where prohibited by law, by accepting the prize the winner agrees that we may use their name, city and state, educator role, and voluntarily provided likeness and statements in connection with announcing and describing the Raffle, in any medium, worldwide, without further compensation, notice, or approval. A winner whose employer policy prohibits this may decline at the point of claim without forfeiting the prize.

9. Personal information

Personal information collected in connection with the Raffle is handled under the Unedo Privacy Policy at https://unedo.com/privacy-policy, incorporated by reference.

We process: your Teacher Passport application and account details; your Code; the count and status of tickets attributed to you; details submitted for a free entry; and, if you are drawn, the identity, age verification, and tax information needed to confirm eligibility and to award and report the prize. Identity documents submitted for age verification are used for that purpose alone, are not used for marketing or profiling, and are deleted once the prize is awarded or forfeited.

Where we examine a Referred Subscriber's subscription and payment status, we do so as that person's service provider for the purpose of validating tickets. We do not disclose to you your students' personal information, payment details, or subscription history.

California residents have rights under the California Consumer Privacy Act, as described in the Privacy Policy.

10. Changes and termination

We may modify, suspend, extend, shorten, restart, or terminate the Raffle, and amend these rules in whole or in part, at any time and at our sole discretion. This includes, without limitation, changing any date; changing how tickets are earned, their values, or the cap; changing eligibility, the free entry route, or the territory; changing or substituting the prize or the number of prizes; changing the method or timing of the drawing; and ending the Raffle without awarding a prize. We require no reason and no participant's agreement, and may act whether or not anything has gone wrong.

Notice. Changes are posted in the app and at https://unedo.com/teachers-referral-contest-terms, take effect on posting, and the version published there is always operative. Material changes carry the date they took effect. Where a change is significant and we hold a working email address, we will also attempt to notify you by email; delivery is not guaranteed and a failure to email does not affect the change.

No vested rights. Continued participation after a change is posted constitutes acceptance of it; a participant who does not accept a change must stop taking part. Tickets are not property, hold no monetary value, and no participant acquires any vested or accrued right in a ticket, in the Raffle, or in the prize before the prize is actually awarded.

Nothing in this section permits us to misrepresent the prize or the odds, or to fail to award a prize we have represented we will award, and nothing here limits any right that cannot lawfully be limited.

11. Limitation of liability

To the fullest extent permitted by law, Unedo and its parent, affiliates, officers, directors, employees, contractors, and agents (the "Released Parties") are not liable for: lost, late, misdirected, incomplete, or corrupted entries, free-entry emails, referrals, or ticket records; technical, hardware, software, network, telephone, or internet failures, outages, or defects, including in the App Store, Google Play, or any payment processor; app or website unavailability, or errors in the display of ticket counts; refunds, reversals, chargebacks, or cancellations by a Referred Subscriber, Apple, Google, or a card issuer; any injury, damage, loss, or financial loss arising from participation or from possessing, using, or misusing the prize; any consequence of your participation under your employer's or institution's policies; and any typographical or administrative error in these rules or in Raffle materials, which we may correct.

By taking part you release the Released Parties from all claims arising out of the Raffle or the prize. To the fullest extent permitted by law, you waive any claim to punitive, incidental, consequential, indirect, or special damages, lost profits, and attorneys' fees, and any recovery is limited to your actual out-of-pocket costs of taking part.

Nothing in these rules excludes or limits liability that cannot lawfully be excluded or limited, including for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or death or personal injury caused by negligence.

12. Governing law and disputes

These rules, and any dispute arising out of or relating to the Raffle, are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

Any such dispute is subject to the dispute resolution, arbitration, and class-action-waiver provisions of the Unedo Terms of Service at https://unedo.com/terms-and-conditions, which apply as if set out in full. Where those provisions do not apply or are held unenforceable, the parties consent to the exclusive jurisdiction of the state and federal courts located in Sacramento County, California and waive any objection to venue.

All proceedings are conducted individually. No class, collective, consolidated, or representative proceeding is permitted.

13. General

a. Precedence. These are the Official Rules of the Raffle and govern over any conflicting marketing copy, in-app text, screenshot, email, social post, or the plain-English summary above. The Unedo Terms of Service govern the underlying relationship between Unedo and each of its users.

b. No relationship created. The Raffle rewards a recommendation, not a sale. You are not our sales agent, employee, contractor, partner, reseller, or franchisee, and nothing here creates any such relationship. Tickets are entries into a chance drawing, not commission.

c. Not a lottery. No consideration is required from any participant, and a free method of entry carrying equal weight in the drawing is available under Section 4.3. Tickets are not purchased, hold no monetary value, are not property, cannot be redeemed, and are cancelled after the drawing.

d. Void where prohibited. The Raffle is void wherever prohibited or restricted by law. We may exclude any jurisdiction whose law requires it, and will not conduct the Raffle where it would require registration or bonding we have not completed.

e. Severability and waiver. An invalid or unenforceable provision is severed and the remainder stands. Our failure to enforce a provision is not a waiver of it.

f. Language. These rules are drafted in English; any translation is for convenience and the English version governs.

g. Rules and winner's name. For a written copy of these rules or the winner's first name and state, write to hola@unedo.com with "Educator Referral Raffle" in the subject line before June 30, 2027.

h. Independent promotion. The Raffle is administered solely by Unedo and is not sponsored, endorsed, or administered by, or associated with, Apple Inc., Google LLC, any school, university, or institution, or any third party.
